Content Licence Agreement

This Content Licence Agreement ("Licence") is a legal agreement between you ("Licensee") and Reely Media Ltd ("Licensor"), Company No. 16460844, registered at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ. This Licence governs your use of any digital video content ("Content") purchased from reely-media.com.
1. Grant of Licence
Upon successful payment, the Licensor grants the Licensee a:
- Non-exclusive — We may licence the same Content to other buyers.
- Worldwide — No geographical restrictions on use.
- Perpetual — The licence does not expire.
- Non-transferable — The licence is granted to you and cannot be sold or assigned to third parties.

2. Permitted Uses
You may use purchased Content for:
- Commercial Advertising: Social media ads, TV/online commercials, paid promotions, branded content
- Social Media: Posts, stories, reels, and content across all social platforms
- Websites & Apps: Incorporation into websites, mobile applications, and digital products
- Presentations: Business pitches, corporate presentations, internal communications
- Editorial: News articles, blog posts, documentaries, and educational content
- Video Production: Incorporation into larger video works, compilations, montages, and edits
- Client Work: Use on behalf of your clients as part of a final deliverable (but not as a standalone resale)
3. Restrictions
You may NOT:
- Redistribute: Sell, sublicense, share, gift, or make the Content available as a standalone file or in any content library, marketplace, or stock media service.
- Claim Ownership: Assert copyright or authorship over the Content. Copyright remains with Reely Media Ltd at all times.
- Trademark Use: Register the Content or any derivative as a trademark, service mark, or logo.
- Defamatory Use: Use the Content in a manner that is defamatory, obscene, pornographic, or promotes hatred or violence.
- False Endorsement: Use the Content in a way that falsely implies endorsement by any person depicted.
- AI Training: Use the Content to train, develop, or improve any artificial intelligence or machine learning model.
- NFT / Blockchain: Mint, tokenise, or sell the Content as a non-fungible token (NFT) or blockchain asset.
- Circumvention: Remove watermarks from preview files, circumvent download protections, or rip streaming content.
4. Licence Tiers
4.1 Standard Licence (~€9)
- All permitted uses listed above
- Use in projects with up to 500,000 total impressions/views
- Single seat (one user or entity)
4.2 Premium Licence (~€19)
- All Standard Licence permissions
- Unlimited impressions/views
- Up to 5 seats (team use)
- Priority access to new releases
4.3 Exclusive Licence (~€49+)
- All Premium Licence permissions
- Unlimited seats
- Content may be removed from public sale (subject to prior licences)
- Extended indemnification
5. Ownership & Copyright
All Content is and remains the intellectual property of Reely Media Ltd. Your purchase grants a licence to use — not ownership of — the underlying work. All rights not expressly granted are reserved.
6. Model & Property Releases
Where applicable, Content featuring identifiable individuals or private property has been cleared with appropriate model or property releases. However, the Licensee is responsible for ensuring their specific use case complies with applicable laws, particularly regarding defamation, privacy, and endorsement.
7. Warranty & Indemnity
The Licensor warrants that it has the right to license the Content and that the Content, as delivered, does not infringe any third-party copyright. This warranty does not extend to modifications made by the Licensee.
The Licensor's total liability under this Licence shall not exceed the licence fee paid for the relevant Content.
8. Termination
This Licence is effective until terminated. The Licensor may terminate this Licence if you breach any of its terms. Upon termination:
- You must cease all use of the Content.
- You must destroy all copies of the Content in your possession.
- Works already published or distributed prior to termination may continue to exist, but no new uses are permitted.
9. Governing Law
This Licence is governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
