These Terms of Service ("Terms") govern your access to and use of the website reely-media.com (the "Site") and the purchase of digital video content ("Content") operated by Reely Media Ltd ("we", "us", or "our"), a company registered in England and Wales (Company No. 16460844), with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ.

By accessing the Site or making a purchase, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. By using the Site, you represent and warrant that you meet these requirements.

2. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are liable for all activity under your account.
  • You must notify us immediately of any unauthorised use at support@reely-media.com.

3. Digital Content & Licence

3.1 What You're Buying

When you purchase Content from the Site, you receive a non-exclusive, worldwide, perpetual licence to use the Content subject to the terms of our Content Licence Agreement.

3.2 Permitted Uses

  • Commercial use in advertisements, social media, websites, presentations, and marketing materials
  • Editorial use in news, blogs, and publications
  • Incorporation into larger creative works (e.g., video edits, compilations)
  • Use by you or your organisation (including employees and contractors working on your behalf)

3.3 Prohibited Uses

  • Reselling, redistributing, sublicensing, or making Content available as standalone files
  • Using Content in any way that implies endorsement by the individuals depicted
  • Using Content in a defamatory, obscene, or unlawful manner
  • Using Content as part of a trademark, service mark, or logo
  • Claiming authorship or copyright ownership of the Content
  • Training AI or machine learning models using the Content

4. Pricing & Payment

  • All prices are displayed in Euros (€) and are inclusive of any applicable taxes unless stated otherwise.
  • We accept payments via Stripe (credit/debit cards), PayPal, and Coinbase Commerce (cryptocurrency).
  • Payment is due at the time of purchase. Your licence is granted only upon successful payment confirmation.
  • Prices may change at any time without notice. Changes do not affect previously completed purchases.

5. Delivery & Downloads

  • Digital Content is delivered immediately upon successful payment via secure download link.
  • You will also receive a confirmation email with a download link.
  • Download links are valid for 30 days with a maximum of 5 downloads per purchase.
  • After expiry, you may request a new download link by contacting support.

6. Refund Policy

Due to the nature of digital goods, all sales are final. Under the Consumer Contracts Regulations 2013, you acknowledge and agree that:

  • Digital content is made available for immediate download upon purchase.
  • By completing a purchase, you expressly consent to the immediate delivery of the digital content and acknowledge that you lose your right of withdrawal once the download becomes available.

Exceptions: We will issue a refund if the Content is materially defective or significantly different from its description. Refund requests must be made within 14 days of purchase to support@reely-media.com.

7. Intellectual Property

  • All Content is owned by Reely Media Ltd and is protected by UK and international copyright law.
  • The Site's design, code, branding, and text are our intellectual property.
  • Your purchase grants you a licence to use the Content — not ownership of the copyright.
  • "Reely Media" and our logo are trademarks of Reely Media Ltd.

8. Watermarks & Security

Preview versions of Content on the Site contain visible watermarks. Attempting to remove watermarks, circumvent download protections, rip streaming content, or access original files without purchase is strictly prohibited and may result in legal action.

9. User Conduct

You agree not to:

  • Use automated systems (bots, scrapers, crawlers) to access the Site without written permission
  • Attempt to gain unauthorised access to our systems or other users' accounts
  • Interfere with the Site's operation or security measures
  • Use the Site for any illegal purpose

10. Account Termination

We may suspend or terminate your account at our discretion if you breach these Terms. Upon termination, your licence to any purchased Content remains valid, but your access to the Site and download functionality may be revoked.

11. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability to you for any claim arising from your use of the Site or Content shall not exceed the amount you paid for the relevant Content.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages.
  • We do not guarantee that the Site will be uninterrupted, error-free, or secure at all times.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by English law.

12. Indemnification

You agree to indemnify and hold harmless Reely Media Ltd, its directors, and employees from any claims, losses, or damages arising from your breach of these Terms or misuse of the Content.

13. Third-Party Services

The Site may contain links to third-party websites or integrate with third-party services (payment processors, analytics). We are not responsible for their content, practices, or privacy policies.

14. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated via the Site or email. Continued use after changes constitutes acceptance.

15. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
